The general terms on this page describe our website and business relationship at a high level; the specific scope, deliverables, timelines and pricing for any engagement are governed by a separate signed service agreement or statement of work between Techomaxx and the client, which takes precedence over this page in case of conflict.
3. Client Responsibilities
Clients are expected to provide timely access to information, content, credentials and feedback reasonably required for us to deliver the agreed services, to designate a point of contact for approvals, and to review and respond to milestones within a reasonable time. Delays in providing inputs or feedback may affect project timelines.
4. Payment Terms
Unless otherwise agreed in writing, projects are typically billed against an upfront deposit followed by milestone-based invoices tied to project deliverables, or on a recurring basis for ongoing retainers and support engagements. Invoices are due on the terms stated in the applicable service agreement, and continued work may be paused if payments fall significantly overdue.
5. Intellectual Property
Upon full payment for a project, ownership of the final deliverables created specifically for the client is transferred to the client, unless the service agreement states otherwise. Techomaxx retains ownership of its own pre-existing tools, general methodologies, reusable components, internal frameworks and libraries used in the course of delivering services, and may continue to use and improve them in other engagements, provided no confidential client data or client-specific business logic is disclosed.
6. Limitation of Liability
To the extent permitted by law, Techomaxx shall not be liable for any indirect, incidental or consequential damages arising from the use of this website or our services. Our total liability for any claim relating to a project shall not exceed the fees paid by the client for that specific engagement, except where such limitation is not permitted by applicable law.
7. Termination
Either party may terminate an ongoing engagement in accordance with the notice period and terms set out in the applicable service agreement. Upon termination, the client is responsible for payment of fees for work completed up to the effective date of termination, and Techomaxx will hand over completed deliverables for which payment has been received.
8. Governing Law
These terms are governed by the laws of India, and any disputes arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts in Madhya Pradesh, India, unless a separate service agreement specifies otherwise.
